Please read these Terms of Service carefully before using Konstanti services. By engaging our services or using our website, you agree to be bound by these terms.

1. About us

Konstanti provides business automation services to small and medium-sized businesses in the United Kingdom. References to “Konstanti”, “we”, “us” or “our” in these terms refer to Konstanti. “You” or “client” refers to the individual or business engaging our services.

2. Our services

Konstanti designs, builds, and maintains automation workflows for business clients. The scope of each engagement is agreed in writing before work begins. Services may include but are not limited to:

  • Custom workflow automation
  • Invoice and document processing automation
  • Email automation and follow-up sequences
  • Reporting and financial admin automation
  • Ongoing monitoring and maintenance

3. Engagement and payment

Engagements commence upon receipt of payment or written agreement, whichever comes first. Pricing is as described on our pricing page or as agreed individually for Enterprise clients.

  • Pricing is agreed individually for each engagement and confirmed in writing before any work begins.
  • All prices are in GBP and exclusive of VAT where applicable.
  • Invoices are due within 14 days of issue unless otherwise agreed. Late payments may incur interest under the Late Payment of Commercial Debts Act 1998.

4. Your responsibilities

To enable us to deliver our services, you agree to:

  • Provide timely access to the systems, credentials, and information we reasonably require.
  • Ensure you have the right to grant us access to any third-party platforms or data used in your automation workflows.
  • Review and approve completed work within 5 business days of delivery.
  • Not use our services for any unlawful purpose or in a way that infringes the rights of others.

5. Intellectual property

All automation workflows, integrations, scripts, and software built by Konstanti remain the intellectual property of Konstanti at all times. Upon termination or cancellation of your engagement, access to those automations will cease and they will not be transferred to you or any third party.

You are granted a right to use the automations we build solely for the duration of your active engagement with us. This right is non-transferable and ends when the engagement ends.

All content on our website, including text, design, and code, remains the property of Konstanti and may not be reproduced without our written consent.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Limitation of liability

To the fullest extent permitted by law, Konstanti shall not be liable for any indirect, incidental, or consequential losses arising from your use of our services. Our total liability to you in respect of any claim shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

8. Warranties

We warrant that our services will be performed with reasonable skill and care. We do not warrant that any automation workflow will be entirely free from errors, or that third-party platforms we integrate with will remain available or unchanged.

If a workflow fails to perform as agreed, we will remedy the issue at no additional charge within a reasonable timeframe.

9. Termination

Either party may terminate an engagement with 30 days’ written notice. We reserve the right to suspend or terminate services immediately if:

  • Payment is overdue by more than 30 days.
  • You are in material breach of these terms and have not remedied the breach within 14 days of written notice.
  • Continuing the engagement would require us to act unlawfully.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these terms from time to time. We will notify active clients of material changes by email. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
